CR renewal is now an annual confirmation: the steps, and what happens if you miss it

You no longer renew a Saudi CR. Since 3 April 2025 you confirm its data every 12 months on the Saudi Business Center and pay the official fee. If you do not confirm within 90 days of the due date, the CR and its services are suspended, and after a further year it is deleted.

Deadline: April 3, 2025, Annual confirmation replaced CR renewal (in force)

Key takeaways

  • The new Commercial Register Law and Trade Names Law took effect on 3 April 2025, with one CR per establishment for the whole Kingdom.
  • The annual confirmation replaces renewal and is due every 12 months from the CR issue date.
  • Official annual confirmation fees on the Ministry of Commerce pages: SAR 1,600 for a joint stock company, 1,200 for an LLC, 1,000 for a partnership and 500 for a sole proprietorship.
  • No confirmation within 90 days of the due date means suspension; one more year without lifting it means deletion.

What changed: from renewal to an annual confirmation

The Ministry of Commerce announced that the new Commercial Register Law and Trade Names Law, with their implementing regulations, took effect on 3 April 2025. Under the new law each establishment has one commercial register for the whole Kingdom, covering all its activities. New sub-registers are no longer issued, and existing sub-registers have five years to be brought in line.

The old renewal step is gone. Instead, the merchant confirms the data in the register electronically every 12 months from the issue date. The Ministry also requires the establishment to open bank accounts linked to it. For a supplier this matters because the CR is the first paper a buyer checks. A CR that is suspended stops the services linked to it, and a buyer who checks it will see the status. Keep the confirmation date in your calendar the same way you track a tax deadline.

How to do the annual confirmation on the Saudi Business Center

The service runs on the Saudi Business Center platform, in Arabic and English, without a visit to a service center. The Ministry page for a company main register lists these steps. Sign in with the National Unified Access or your email. Go to the electronic services, then doing business, then Ministry of Commerce, then the annual verification of the company main register data, and choose your CR.

Accept the terms and apply. Choose the confirmation reason, approve the declaration and continue. Then review and update the data: commercial activities, any previous licence data, optional e-commerce data, the national address, and contact details with a verified mobile number and email. Review the summary and submit. The Ministry checks the request and returns it if there are comments. Partners or a representative approve it where needed. Pay the fee by card or SADAD, and the status changes to completed. The CR must be active to use the service.

The official fees, and what to check before you confirm

The Ministry of Commerce service pages state the annual confirmation fee by legal form. For a joint stock company or a simplified joint stock company the fee is SAR 1,600. For a limited liability company it is SAR 1,200. For a general partnership or a limited partnership it is SAR 1,000. For a sole proprietorship the fee is SAR 500. Payment is by SADAD, mada, Visa or Mastercard. Fees can change, so read the amount on the platform before you pay.

Use the confirmation as a yearly clean-up of the data buyers rely on. Check that your activities match what you actually sell. A buyer may refuse a quotation for goods outside your registered activities. Check the national address, because it is one of the fields you review. Check the mobile number and email, because the Ministry sends notices there. If you change anything, the rules of the CR data amendment service also apply. A foreign company needs a valid investment licence with at least 30 days left.

What happens if you are late: suspension, deletion and fines

The Ministry announcement sets the timeline. If the annual confirmation is not submitted within 90 days of its due date, the registration and the services linked to it are suspended. If the merchant does not ask to lift the suspension within one year of its start, the registration is deleted automatically. The announcement says lifting the suspension needs the annual confirmation, the fee and a fine. The Ministry has a separate service on the Saudi Business Center to lift a suspended sole proprietorship CR.

The Ministry FAQ on violations lists "not submitting the annual confirmation of the register data" as a violation of the Commercial Register Law. A proven violation can bring a fine of up to SAR 50,000, and the fine may be doubled on repeat. The committee can also issue a warning or order corrective steps. A merchant can object before the competent court within 30 days of being notified. For exact amounts in your case, check with the Ministry of Commerce on 1900.

What ENTEK does and does not do

ENTEK does not confirm, renew or check your CR with the Ministry of Commerce, and it is not linked to the Saudi Business Center. The annual confirmation is your step on the official platform, and only the Ministry decides the status of your register.

What ENTEK gives a supplier is a verified company profile with CR and VAT numbers, certifications, key personnel and official stamp. After you confirm your CR each year, update the same details in your ENTEK profile so the corporate buyers you deal with on ENTEK see current company data. You can also generate stamped commercial documents such as quotations and proformas that carry your company details. Keep one rule in mind: the profile shows what you enter. If your CR is suspended on the official platform, fix it there first, then update your profile. Opening a supplier account is free on the Free plan, with 1 store, 10 RFQs and 10 users.

Step by step

  1. Sign in to the Saudi Business Center with the National Unified Access or your email.

  2. Open electronic services, doing business, Ministry of Commerce, annual verification of the main CR data, and choose your CR.

  3. Accept the terms, choose the confirmation reason and approve the declaration.

  4. Review and update activities, licence data, e-commerce data, national address and contact details.

  5. Submit, wait for the Ministry review and any partner approval.

  6. Pay the fee by card or SADAD; the status changes to completed.

Before you confirm your CR: 8 checks

  • Write down your CR issue date: the confirmation is due every 12 months from it.
  • Put a reminder at least 30 days before the due date, far from the 90-day suspension limit.
  • Check that the CR status is active on the Saudi Business Center.
  • Compare the registered activities with the products you quote to companies.
  • Check the national address on the CR.
  • Check that the mobile number and email can receive the verification codes.
  • If you have partners or a representative, tell them their approval is needed.
  • After payment, save the invoice and update the same data in every supplier profile you keep.

Frequently Asked Questions

My CR date passed and I cannot find the renewal option. Why?

Because renewal no longer exists. Since 3 April 2025 the service is called the annual confirmation of CR data. On the Saudi Business Center open the Ministry of Commerce services and choose the annual verification of the main register data for a company, or the annual confirmation for a sole proprietorship.

I am late on the annual confirmation. Will my CR be suspended?

According to the Ministry of Commerce, suspension comes if you do not confirm within 90 days of the due date. Confirm now if you are still inside the 90 days. If the CR is already suspended, use the lift service on the Saudi Business Center and check the fee and any fine shown there.

How much is the annual confirmation fee?

The Ministry service pages list SAR 1,600 for a joint stock or simplified joint stock company, SAR 1,200 for an LLC, SAR 1,000 for a general or limited partnership and SAR 500 for a sole proprietorship. Read the amount on the platform before paying, as fees can change.

A company I supply asked for a "valid CR". What do I send?

Send your CR number and a current copy from the Saudi Business Center, after you confirm the data for this year. Many buyers check the CR status against official Ministry of Commerce data, so a suspended CR will show. Make sure the registered activities cover the goods in your quotation.

Can ENTEK confirm or renew my CR for me?

No. ENTEK is not linked to the Ministry of Commerce or the Saudi Business Center. You confirm your CR on the official platform. On ENTEK you keep the CR number in your verified company profile and update it after each confirmation.
